These Terms of Service ("Terms") constitute a legally binding agreement between you (either an individual or the entity you represent, collectively "Customer" or "you") and Proziyo ("Proziyo", "we", "our", or "us") governing your access to and use of the Proziyo software-as-a-service platform and all related services, features, content, and applications (collectively, the "Service").
By creating an account, clicking "I agree", or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.
If you do not agree to these Terms, you must not create an account or use the Service. We reserve the right to update these Terms at any time. Continued use of the Service after changes are published constitutes acceptance of the revised Terms.
Proziyo is a multi-tenant, cloud-based SaaS platform purpose-built for UAE Public Relations Officer (PRO) task management. The Service enables PRO firms and corporate PRO departments to manage government transactions across UAE federal and emirate-level authorities, including but not limited to MOHRE, ICA, GDRFA, DED, ADDED, and registered free zones such as JAFZA, DIFC, and SAIF Zone.
Core features of the Service include employee and client company record management, document storage, government task creation and tracking, automated expiry alerts, role-based access control, audit logging, and reporting. Proziyo provides pre-built workflow templates for over 20 common UAE PRO transaction types, including new visa applications, visa renewals, Emirates ID processing, labour card issuance, and trade licence renewals.
Proziyo does not provide legal advice, PRO services, or government liaison services. The platform is a software tool that assists your team in organising and tracking their own PRO activities. Compliance with all applicable UAE laws and government authority requirements remains solely your responsibility.
To access the Service, you must register for an account by providing accurate, complete, and current information as prompted by the registration form. You agree to maintain and promptly update your account information to keep it accurate, complete, and current. Providing false, misleading, or outdated information is grounds for immediate account suspension or termination.
You are responsible for maintaining the confidentiality of your account credentials, including your password and any multi-factor authentication codes. You agree to immediately notify Proziyo at hello@proziyo.com if you suspect any unauthorised access to or use of your account. Proziyo will not be liable for any loss or damage arising from your failure to maintain the security of your credentials.
Each subscription is issued to a single organisation ("Tenant"). You may not share your account credentials with individuals outside your organisation, resell access to the Service, or use a single subscription to serve multiple unrelated businesses without a separate subscription for each. All users within your Tenant must be authorised employees or contractors of your organisation.
Access to the Service is provided on a subscription basis. Proziyo offers tiered subscription plans with different feature sets and user limits. Current pricing, plan features, and user limits are published on our pricing page at proziyo.com/pricing and are subject to change with 30 days' notice to existing subscribers. Subscriptions may be billed monthly or annually, at your election. Annual subscriptions are charged in full at the start of the billing cycle.
All fees are quoted in United States Dollars (USD) and are exclusive of applicable taxes. You authorise Proziyo to charge your nominated payment method automatically at the start of each billing period. If a payment fails, we will retry the charge on successive days and notify you by email. Accounts with overdue balances exceeding 10 days may be suspended until payment is received.
Proziyo operates a no-refund policy for subscription fees already charged, except where required by applicable law. If you cancel your subscription, you will retain access to the Service until the end of your current paid billing period, after which your account will be downgraded or deactivated. We do not provide pro-rata refunds for unused periods. Any disputed charges must be raised with us in writing within 60 days of the charge date.
Proziyo offers a free trial period for new accounts as advertised on our website. No payment details are required during the trial. At the end of the trial, you must select a subscription plan to continue using the Service. Trial accounts are subject to feature and user limits as specified at the time of registration.
Proziyo grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your internal business operations related to UAE PRO task management, in accordance with these Terms and all applicable laws. You may use the Service to manage your employees' and clients' government transactions, store relevant documents, and coordinate your PRO team's workflow.
You agree that you will not: attempt to reverse engineer, decompile, or disassemble any part of the Service; probe, scan, or test the vulnerability of the Service or any related systems; use the Service to transmit malicious code or interfere with the integrity of the platform; use automated tools to scrape, crawl, or extract data from the Service; use the Service to store or process data that is illegal, defamatory, or violates third-party rights; or attempt to gain unauthorised access to other tenants' data or Proziyo's systems.
You are solely responsible for the accuracy and legality of all data you upload to the Service, including employee personal data, government document details, and client records. You must have the appropriate legal authority or consent to collect and process any personal data you store within Proziyo. Misuse of the Service that violates these Terms may result in immediate suspension or termination of your account without refund, and may be reported to relevant authorities.
Proziyo and its licensors own all rights, title, and interest in and to the Service, including all software, algorithms, designs, user interfaces, workflows, task templates, documentation, and trademarks. Nothing in these Terms transfers any ownership of Proziyo's intellectual property to you. The Proziyo name, logo, and all related product names are trademarks of Proziyo and may not be used without our prior written permission.
You retain all intellectual property rights in any content, data, or materials you upload to or create within the Service ("Customer Content"). By uploading Customer Content, you grant Proziyo a limited, non-exclusive, royalty-free licence to host, store, reproduce, and display that content solely to the extent necessary to provide the Service to you. Proziyo does not claim ownership over your Customer Content and will not use it for any purpose other than operating and improving the Service.
If you provide feedback, suggestions, or ideas about the Service, you grant Proziyo a perpetual, irrevocable, royalty-free licence to use that feedback for any purpose without compensation or attribution to you. We may use anonymised, aggregated insights derived from usage patterns to improve the platform, but we will never expose or share your identifiable data in doing so.
All data you upload to or generate within Proziyo — including employee records, government document data, task histories, notes, and uploaded files — belongs exclusively to you as the Tenant. Proziyo is a custodian of that data on your behalf and has no rights to use, monetise, or share it beyond what is strictly necessary to provide the Service.
You may export your data at any time in machine-readable formats (JSON and CSV) directly from the platform settings. Upon termination of your subscription, you will have a 30-day window to export your data. After this period, Proziyo will securely delete your tenant data from all active systems and backup stores within 60 days, in accordance with our data retention policy.
Proziyo implements database-level Row-Level Security (RLS) to enforce strict data isolation between tenants. Your data is logically and technically separated from all other tenants' data at the infrastructure level. Proziyo staff access to tenant data is subject to the minimum necessary principle, requires multi-factor authentication, and is fully audited.
Proziyo commits to a monthly uptime target of 99.5% for the core platform, measured across a rolling calendar month and excluding scheduled maintenance windows. Uptime is tracked and published on our status page at status.proziyo.com. In the event that uptime falls below our target in any given month, affected subscribers may request a service credit in accordance with our current Service Level Agreement (SLA), available on request.
Scheduled maintenance windows, including database upgrades, infrastructure changes, and security patches, will be announced at least 48 hours in advance via email and our status page. We endeavour to schedule maintenance during off-peak hours (Friday 11 PM – Saturday 4 AM GST) to minimise disruption to users. Emergency maintenance required to address active security incidents may occur with shorter notice.
Proziyo does not guarantee that the Service will be free of all errors, bugs, or interruptions. We will use commercially reasonable efforts to resolve reported issues promptly. Support is available via email at hello@proziyo.com during UAE business hours, Sunday through Thursday, 9 AM to 6 PM GST.
To the maximum extent permitted by applicable UAE law, Proziyo's total cumulative liability to you for any claims arising out of or relating to these Terms or the Service — whether in contract, tort, or otherwise — shall not exceed the total fees paid by you to Proziyo in the three-month period immediately preceding the claim. This limitation applies regardless of the form of the action and even if Proziyo has been advised of the possibility of such damages.
Proziyo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, business interruption, or the cost of substitute services, arising out of or in connection with these Terms or the Service. This exclusion applies even if Proziyo has been informed of the possibility of such damages.
The Service is provided on an "as is" and "as available" basis. Proziyo disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Proziyo does not warrant that the Service will meet every specific requirement of your business or that it will be entirely free of errors at all times.
You may cancel your subscription at any time through your account settings or by contacting us at hello@proziyo.com. Cancellation takes effect at the end of your current billing period. You will retain full access to the Service until that date. As noted in the Subscription and Billing section, no pro-rata refunds are provided for unused portions of a paid period.
Proziyo may suspend or terminate your account immediately and without prior notice if you materially breach these Terms, fail to pay fees when due, engage in fraudulent activity, or if required to do so by law or regulation. In cases of suspected security threats, we may also suspend access to protect the integrity of the platform. We will notify you as soon as practicable following any suspension or termination and provide a reason where legally permissible.
Upon termination for any reason, your right to access and use the Service ceases immediately. You will have 30 days to export your data via the data export feature in your account settings. After this 30-day window, Proziyo will begin the process of permanently deleting your tenant data from all active systems and backup stores, completing deletion within 60 days of the termination date.
These Terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the laws of the Emirate of Dubai where applicable.
Any dispute arising from these Terms or the use of the Service that cannot be resolved amicably between the parties within 30 days of written notice of the dispute shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE. Both parties waive any objection to the exercise of jurisdiction by such courts and to venue in Dubai.
Nothing in this clause limits Proziyo's right to seek injunctive or other equitable relief in any jurisdiction to protect its intellectual property rights or confidential information. If any provision of these Terms is found to be unenforceable under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
Proziyo reserves the right to modify these Terms at any time. When we make material changes, we will notify you by email to your registered address and by displaying a prominent notice within the platform at least 14 days before the revised Terms take effect. For minor changes that do not materially affect your rights or obligations, we may update the Terms with shorter or no advance notice.
Your continued use of the Service after the effective date of any revisions constitutes your binding acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription before the effective date. The current version of these Terms, along with its effective date, is always available at proziyo.com/terms.
